Governance
Our Board of Directors actively works with our management team to set company strategy; evaluate the performance and determine the compensation of our Chief Executive Officer; approve compensation for all other executive officers; and oversee our risk management programs.

Our diverse Board brings a well-rounded perspective and is made up of nine directors, all of whom are independent directors as defined by NYSE rules. Currently, two of our directors are women and one is from another underrepresented group (including ethnicity and sexual orientation).

Ethics & Compliance
Among our 4,800 employees and vast number of suppliers, TRIUMPH holds high standards of ethical business conduct to ensure integrity – one of our core values – is at the heart of everything we do.

• Our Code of Business Conduct articulates the business and ethical principles that drive how we run our business.
• We provide an anonymous hotline and online portal that enable employees to report potential violations or ethical concerns. Our General Counsel directly or indirectly oversees investigations to ensure reported issues are handled swiftly, fairly and consistently.
• We have a robust set of internal policies and procedures available to all employees that help monitor and manage compliance across our enterprise.
• All TRIUMPH employees participate in annual compliance training on a variety of risk topics.
• Our Legal Department manages additional compliance initiatives, including ongoing assessments of employment practices. We strive to ensure that our employees are treated fairly and perform to the highest standard of ethics.

Additional important aspects of our commitment to ethical business practices are our recently refreshed Anti-Corruption Policy, as well as programs focused on data security, data privacy and supply chain responsibility.
